1.Acceptance and scope of the terms
By accessing the GRENIER SOLUTIONS websites, the client portal, our internal/public applications, or by using our development, hosting, infrastructure and integration services (collectively, "the services"), you agree to be bound by these terms of use. If you are acting on behalf of a business, you represent that you have the authority required to bind that entity to these terms.
2.Description of the services
GRENIER SOLUTIONS offers technology services, including:
- Development, hosting and maintenance of custom platforms, web portals and dashboards for our clients.
- Integration of third-party services and APIs (including Google sign-in services, SSO, Microsoft, etc.).
- Deployment of network infrastructure, security systems, and proprietary software solutions (e.g., client portal, GateLogix).
The features of our hosted platforms may be modified, updated or suspended at our discretion for security reasons or for technical improvement.
3.Intellectual property and licences
GRENIER SOLUTIONS software and platforms: All source code, interfaces, algorithms, methodologies, the client portal, and our proprietary solutions remain the exclusive property of GRENIER SOLUTIONS. We grant you a limited, revocable and non-exclusive licence of use, solely within the scope of our service agreements.
Custom development: For platforms programmed specifically for a client, the assignment of intellectual property rights (if any) is strictly governed by the individual service contract. In the absence of a specific clause, GRENIER SOLUTIONS retains ownership of the base source code and of reusable libraries.
4.Third-party integrations and Google services
Our platforms may use third-party authentication services and APIs (e.g., Google OAuth, Google Workspace, messaging services). Your use of these integrations is also subject to the terms of use and privacy policies of these respective providers.
GRENIER SOLUTIONS cannot be held liable for service interruptions, API changes, data loss or security breaches caused exclusively by these third-party providers. You are responsible for keeping your use compliant with the rules of these providers (e.g., API quotas, acceptable use policies).
5.Hosting, availability and security of the platforms
We make commercially reasonable efforts to ensure high availability of the platforms we host and program. However, unless otherwise stipulated in a signed service level agreement (SLA), the services are provided "AS IS" and "AS AVAILABLE".
We reserve the right to temporarily suspend access to the platforms for critical maintenance or in the event of an immediate security threat, without this constituting a breach of contract on our part.
6.Responsibilities of the user and the client
Whether you use our public portal or a platform we designed for your business, you agree to:
- Keep your access credentials confidential.
- Not use our infrastructure to store or transmit content that is illegal, malicious (viruses, ransomware) or that infringes the rights of third parties.
- Not attempt to reverse engineer, decompile or probe our systems for vulnerabilities without explicit authorization (see Security policy).
7.Overall limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GRENIER SOLUTIONS, ITS OFFICERS, EMPLOYEES OR SUBCONTRACTORS SHALL NOT BE HELD LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES.
This includes, without limitation, loss of profits, loss of data, and business interruptions arising from the use of, the inability to use, or the failure of our programmed platforms, our hosting or third-party integrations (Google, etc.). In any event, the total cumulative liability of GRENIER SOLUTIONS shall not exceed the amount you paid us for the specific service during the twelve (12) months preceding the event that caused the damage.
8.Indemnification
You agree to indemnify, defend and hold GRENIER SOLUTIONS harmless from any claim, loss, damage, liability, obligation or expense (including reasonable legal fees) arising from your fraudulent or negligent use of our platforms, from a breach of these terms, or from the infringement of third-party rights through the data you host on our systems.
9.Governing law and jurisdiction
These terms, as well as any dispute arising from the use of our platforms and services, are governed exclusively by the laws of the province of Québec and the federal laws of Canada applicable therein. You expressly consent to the exclusive jurisdiction of the courts of the judicial district of Québec (province of Québec) for any dispute.
Language: These terms are drafted in French, in accordance with the Charter of the French Language. An English version is provided for convenience; in the event of any discrepancy between the two versions, the French version prevails.
10.Changes to the terms
GRENIER SOLUTIONS reserves the exclusive and absolute right to modify, update, add or remove parts of these terms of use at any time, at its sole discretion and without notice. Changes take effect immediately upon their publication on this page. It is your responsibility to review this document regularly. Your continued use of our platforms, software and services after changes are posted constitutes your full and unconditional acceptance of the revised terms.
